I am an approved installer for TOPSEAL, which is a fibreglass system suitable for any job you can think of where you need to keep water in or out.
There are other brands out there and I can't comment on them but I'd never go past this product. If you need to walk on it regularly there is a heavy duty version for terraces and fire escapes, with or without chips.
Personally, I wont overboard any existing covering, and the prep work involved means you can alter runs, or pitches and raise valleys etc to improve run.
I've just finished a hipped roof this week. The original was felt, with two valley gutters which had very little run. It leaked at the valleys and also through a porch roof that the valleys ran on to thanks to the previous contractor.
We removed all the felt, replaced all the rotten boards, reboarded with osb3 then applied the fibreglass system. We were also able to improve the run in both valleys and divert the run off from the porch roof to a new hopper top.
It has transformed the look of the building and although the guarantee is only 25 years, I am confindent it will be trouble free for a lot longer.

p.s. I'm only championing TOPSEAL because I use it, POLYROOF is very similar and I'm sure will last just as long. I wouldn't recommend doing it yourself however. I've been taught how to do it properly but I've also been shown how to do it badly and to the untrained eye there's not much difference. Even a bad roof will last 5 years before showing any signs of trouble.
